16. Subscriber Terms
16.1. Subscriber Benefits Subscribers receive access to the Shiny New Directors List, event invitations, jury participation opportunities, and related networking and industry resources, as outlined at the point of subscription. Specific benefits may vary by subscription tier.
16.2. Use of Resources Subscriber access to Shiny's resources is granted solely for participation in Shiny-approved activities. Use of any Shiny resource for self-promotion, external solicitation, or any purpose outside the scope of Shiny's activities is strictly prohibited.
16.3. Use of the Shiny New Directors List The Shiny New Directors List and Shiny Awards are curated solely on the basis of the creative quality of submitted work. Inclusion on the Shiny List does not constitute a recommendation, endorsement, verification, or warranty of any kind regarding any director's professional credentials, legal status, employment eligibility, right to work, insurance, contractual suitability, or fitness for any particular engagement.
Any producer, company, or individual using this database to identify directors for potential work does so entirely at their own risk. It is your sole responsibility to conduct all appropriate due diligence before entering into any contract or working arrangement, including but not limited to: verifying identity and right to work, conducting background checks, confirming that appropriate insurance is in place, and assessing suitability for your specific project and jurisdiction.
Shiny Awards Ltd accepts no liability whatsoever for any loss, damage, claim, or dispute arising from use of this database or from any engagement with a director featured on it. Nothing on this platform constitutes professional, legal, or contractual advice.
This database is provided as an information resource only. Users outside the United Kingdom should be aware that use of this platform is governed by English law, and Shiny Awards Ltd makes no representation that the content of this platform, or its use, complies with the laws of any other jurisdiction.
16.4. Non-Solicitation, Confidentiality, and Use of Director Information
Non-Solicitation: Subscribers agree not to use access to Shiny's curated director list, contact information, or any related materials to solicit, market, or promote their own membership schemes, services, or events — whether competing with Shiny directly or indirectly.
Confidentiality and Use Restrictions: The directory of directors and all associated data provided to subscribers is proprietary, confidential, and shared solely for the purpose of participation in Shiny's approved activities. Directors have submitted personal information on the strict understanding that it will only be accessible to current Shiny subscribers and used within the scope of Shiny's activities. Any unauthorised use — including but not limited to reproducing, redistributing, or leveraging this data to develop competing offerings — constitutes a material breach of these Terms.
Privacy and Data Protection: Shiny takes the privacy of its directors seriously and complies with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and guidance from the Information Commissioner's Office (ICO). Any unauthorised use or sharing of director data may result in immediate termination of subscription and, where appropriate, referral to the ICO and pursuit of legal action.
Breach and Remedies: In the event of a breach of this clause, Shiny reserves the right to terminate the relevant subscription immediately and without notice, and may seek all available legal remedies, including injunctive relief, damages, and regulatory referral where appropriate.
16.5. Conduct Subscribers are expected to engage with Shiny's community, directors, and events in a manner that is respectful, professional, and consistent with Shiny's commitment to diversity, equity, and inclusion. Breaches of this standard may result in suspension or termination of subscription without refund.
16.6. Intellectual Property All content provided by Shiny to subscribers — including but not limited to the director database, newsletters, and editorial content — remains the intellectual property of Shiny Awards Ltd and must not be reproduced, shared, or used outside approved contexts without prior written consent.
16.7. Termination Shiny reserves the right to terminate or suspend any subscription at any time where there is actual or reasonably suspected violation of these Terms, without liability for refund of any unused portion of a subscription period where a breach has occurred.
16.8. Amendments Shiny may revise these Subscriber Terms at any time. Subscribers will be notified of material changes. Continued use of subscriber benefits following notification constitutes acceptance of the revised Terms.
17. Governing Law and Jurisdiction These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
